You are registering for membership with National Purchasing Partners, LLC, doing business as NPPGov (“NPPGov,” “we,” “us,” or “our”). NPPGov gives government agencies, educational institutions, nonprofit organizations, and their employees and volunteers access to cooperative contracts and supplier programs. Membership is free and carries no purchasing obligation. These Terms and Conditions (the “Terms”) govern your use of NPPGov’s websites, membership and related services, including services provided by NPPGov’s designated administrators (together, the “Services”). By registering or using the Services, you accept these Terms. If you register on behalf of an organization, you represent that you are authorized to accept these Terms for that organization, and “you” includes that organization, subject to Section 14.

1. Privacy and Use of Member Information

NPPGov’s Privacy Policy explains how we collect, use and share personal information, and it is part of these Terms. By using the Services, you acknowledge that NPPGov may use the information you provide, as described in the Privacy Policy, to:

• administer your membership and the supplier programs you join, and support lead public agencies in administering cooperative contracts;
• share your contact information with supplier partners whose programs you click through to, express interest in, or enroll in, and, subject to your preferences, with other selected supplier partners;
• communicate with you about NPPGov and supplier programs; and
• advertise NPPGov and supplier programs on our websites and on third-party platforms such as Google and LinkedIn, including by using hashed member contact information to exclude, measure, find similar audiences for, and show ads to members.

If you joined NPPGov before the Effective Date, NPPGov will use contact information collected from you before that date for these advertising purposes only on the schedule, and subject to the conditions, described in Section 5 of the Privacy Policy.

You may change your communication, supplier-sharing and advertising preferences at any time under “MY ACCOUNT,” through the “Do Not Sell or Share My Personal Information” / “Your Privacy Choices” link on our websites, or by contacting Member Support, as described in the Privacy Policy.

2. Member Information You Provide

You agree to provide accurate and current information and to keep it up to date. If you provide information about other individuals at your organization, such as employees who will use supplier programs, you represent that you are authorized to provide that information and to have it used as described in the Privacy Policy.

3. Communications

By registering, you agree that NPPGov may contact you at the business email address, phone number and mailing address you provide about your membership, the Services, and NPPGov and supplier programs. You may opt out of marketing communications at any time as described in the Privacy Policy. Even if you opt out, we may still send non-marketing messages about your membership. You agree that notices and other communications we send electronically satisfy any legal requirement that they be in writing. We send text messages only if you opt in under Section 4.

4. Text Messaging Program

If you check the box to opt in to text messages, you agree to receive recurring automated and manual marketing and informational text messages from NPPGov at the mobile number you provide, including follow-ups from NPPGov account representatives, automated notifications about relevant supplier offers and savings based on your activity on our websites, and messages about events, reminders and your account. Consent is not a condition of membership or of any purchase. We ask for it separately from your acceptance of these Terms. Message frequency varies. Message and data rates may apply. Reply HELP for help or contact customerservice@nppgov.com or 877.329.8847. Carriers are not liable for delayed or undelivered messages. You represent that you are the subscriber or customary user of the mobile number you provide, and you agree to notify us if you give up that number.

How to opt in. You may opt in to receive text messages by submitting an online form on our websites, such as our registration form or your MY ACCOUNT page, and checking the separate text-message consent box.

How to opt out. You may opt out at any time by replying STOP to any text message from NPPGov; you will receive one message confirming your opt-out. You may also contact us at customerservice@nppgov.com or 877.329.8847 to be removed from our messaging list.

Your mobile number. Mobile phone numbers collected through the text-message consent process will not be shared with third parties for marketing purposes. Text-message opt-in data and consent will not be shared with any third parties.

Text messaging is also subject to the Privacy Policy.

5. Cooperative Contracts and Supplier Programs

Supplier offers are made available through NPPGov but are provided by the suppliers themselves. Your purchases are governed by your organization’s agreement with the supplier, including the supplier’s eligibility requirements, pricing and terms. Suppliers may change or withdraw offers at any time without notice. You authorize suppliers to provide NPPGov with information about your participation in their programs, such as enrollment status, member ID and purchase volume, so that NPPGov can verify eligibility, track and report administrative fees, and support the program. NPPGov will use that information as described in the Privacy Policy and as permitted by its agreements with the suppliers. NPPGov does not guarantee the accuracy or completeness of supplier offers and is not responsible for supplier products or services.

Many contracts available through NPPGov were awarded by a lead public agency through a public solicitation and are made available to other public and nonprofit entities through cooperative purchasing. Purchases under those contracts are also governed by the contract awarded by the lead public agency and any participating agreement you sign. You are responsible for determining whether using a cooperative contract satisfies the procurement laws, regulations and policies that apply to your organization. Information on our websites about state statutes and legal authority is provided for convenience and is subject to Section 10.

6. Administrative Fee Disclosure

Suppliers from which you may purchase goods or services through a publicly solicited contract pay NPPGov a fee of 3 percent or less of the purchase price of those goods or services. The fee is paid by the supplier and is not an added charge to you.

7. Your Account

You are responsible for keeping your account number and password confidential and secure, and for all activity under your account, whether or not you authorized it. Please notify Member Support promptly of any unauthorized use. NPPGov may refuse service, suspend or terminate memberships, or remove or edit content at its discretion, including for any violation of these Terms. To investigate complaints and keep the Services responsive to your needs, you agree that NPPGov employees may access your account and records as needed. NPPGov will not disclose such an investigation unless required by law. You may end your membership at any time by contacting Member Support.

8. Trademarks

NPPGov and its graphics, logos, page headers, button icons, scripts and service names are trademarks or trade dress of NPPGov. They may not be used in connection with any product or service not provided or authorized in writing by NPPGov, in any manner likely to cause confusion among members, or in any manner that disparages or discredits NPPGov. All other trademarks appearing on our websites belong to their respective owners, who may or may not be affiliated with, connected to, or sponsored by NPPGov.

9. Third-Party Sites and Resources

Our websites and suppliers may provide links to third-party websites and resources. NPPGov does not control them and is not responsible for their availability, content, advertising, products, privacy practices or other materials. NPPGov is not responsible or liable for any loss or damage caused by your use of or reliance on any third-party content, goods or services.

10. Disclaimer

The legal information on our websites is general information about public agency procurement. It is not legal advice and does not create an attorney-client relationship. Laws change, and you should obtain advice from a qualified attorney about your particular circumstances, including whether a cooperative contract satisfies the laws and ordinances that apply to your organization, before acting on the information. THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL NPPGOV OR ITS OFFICERS, EMPLOYEES, DIRECTORS, MEMBERS, MANAGERS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STATUTORY OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM USE OF THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU. WHERE NPPGOV MAY NOT DISCLAIM AN IMPLIED WARRANTY OR LIMIT ITS LIABILITY AS A MATTER OF LAW, THE SCOPE AND DURATION OF THE WARRANTY AND THE EXTENT OF NPPGOV’S LIABILITY SHALL BE THE MINIMUM PERMITTED BY LAW.

12. Indemnification

This Section applies only to individuals who use the Services on their own behalf and not on behalf of a government agency, educational institution or nonprofit organization. It does not apply to public or nonprofit entities or to individuals acting on their behalf.

You agree to indemnify, defend and hold harmless NPPGov and its affiliates, officers, directors, volunteers, employees, consultants and agents from all third-party claims, liabilities, damages and costs (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or infringement by you or any user of your account of any intellectual property or other right of any person or entity. This obligation does not apply to the extent a claim is caused by NPPGov or its affiliates, officers, directors, employees, consultants or agents, in which case NPPGov will indemnify, defend and hold harmless you and your affiliates, officers, directors, employees, consultants and agents to the same extent. Some jurisdictions restrict indemnification clauses; to the extent applicable law limits this Section, your obligations are limited to the maximum extent the law permits. These Terms benefit NPPGov’s successors, assigns and licensees.

13. Applicable Law and Venue

This Section applies only to individuals who use the Services on their own behalf, as described in Section 12. For public and nonprofit entities, see Section 14.

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules or your state or country of residence. Any action arising from these Terms or the Services shall be brought in the state or federal courts located in King County, Washington, and you consent to their jurisdiction.

14. Public and Nonprofit Entity Members

If you use the Services on behalf of a government agency, educational institution or nonprofit organization: (a) Sections 12 and 13 do not apply to you or your organization; (b) nothing in these Terms waives any sovereign or governmental immunity, or any limitation on liability, that applies to your organization under law; (c) nothing in these Terms requires your organization to act contrary to the procurement, public records or open meetings laws that apply to it; and (d) any dispute between NPPGov and your organization will be governed by the law that applies to your organization unless the parties agree otherwise in writing.

15. Changes to These Terms

NPPGov may change its websites, Services and policies, including these Terms, at any time. We will post the updated Terms on this page with a new “Last Updated” date and, for material changes, will provide notice on our websites or by email before the change takes effect. Your continued use of the Services after the effective date of a change means you accept the updated Terms.

16. Members Who Joined Before the Effective Date

If you became a member before the Effective Date, these Terms apply to your membership on the earlier of (a) the date you accept them, including by checking the acceptance box when you next sign in, or (b) November 23, 2026, which is at least 30 days after we emailed you notice of these Terms, if you continue to use the Services after that date. Until then, the Terms in effect when you joined continue to apply. Prior versions are available at nppgov.com/terms-and-conditions-2026-10-23.

17. Severability and Entire Agreement

If any provision of these Terms is found invalid, void or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. These Terms and the Privacy Policy are the entire agreement between you and NPPGov regarding the Services and supersede any prior versions. They do not amend any cooperative contract, participating agreement or supplier agreement, which control in the event of a conflict.
